Solvency Certificate

Solvency Certificate. Shall mean a certificate executed by the Chief Financial Officer of the Company dated the date hereof and substantially in the form set forth in Exhibit D.

Solvency Certificate. Substantially in the form of Exhibit D to the Credit Agreement executed by the president and chief executive officer of the Borrower with respect to the solvency of the Borrower and its Subsidiaries, on a consolidated basis, after giving effect to this Agreement and the transactions contemplated hereby
