SOURCING TRANSACTION. Means a transaction by which CarsDirect acquires an Automobile from a P/UAG Dealer subject to the criteria specified in this Agreement, including Pricing and the criteria set forth on Exhibit A , Exhibit B-1 and Exhibit B-2 attached hereto.
