Special Common Percentage. Means the result obtained by multiplying (a) the Series F Indemnification Percentage by (b) a fraction, the numerator of which is the aggregate value of all shares of Parent Common Stock deposited into the Special Escrow Deposit as of the Effective Time and the denominator of which is the total aggregate value of all cash and Parent Common Stock deposited into the Special Escrow Deposit as of the Effective Time.
