Example Definitions of "Special Dividend"
Special Dividend. Means a one time cash dividend in an amount equal to 7.0% of the Liquidation Value per annum per share of Series B Preferred Stock for the period commencing and including the Issue Date and ending on and including the Notice of Non-Funding Date calculated on the basis of a year of 365 days and charged for the actual number of days elapsed.
Special Dividend. Means a dividend declared or paid on the Common Stock in respect of a recapitalization, spin-off, reorganization or other extraordinary transaction of the Corporation.
Special Dividend. Is defined in the Separation and Distribution Agreement.
