Special Payment

Special Payment. Shall mean, with respect to each Participant, a lump sum cash payment in an amount equal to the Participant's target annual bonus, if any. For purposes of this definition, "target annual bonus" shall be the Participant's target bonus, if any, with respect to the year in which the Special Payment Date occurs.
