Means special share purchase warrants of the Company exercisable into one share of Common Stock for a period of 24 months of the date of issuance at a price equal to US$0.625, conditional upon the Company increasing its authorized capital to an amount to cover the shares of Common Stock issuable pursuant to all of the outstanding Special Warrants as well as the other shares of Common Stock issuable pursuant to the then currently outstanding convertible/exercisable securities of the Company
