Specified Minimum Availability Date

Specified Minimum Availability Date. Shall mean the date on which the following conditions shall have been satisfied: (a) the Administrative Agent and the Lenders shall have received the compliance certificate required to be delivered by Borrowers pursuant to Section 5.01(d) for the fiscal quarter ending on or about December 31, 2013; and (b) Borrowers shall have complied with the financial covenant set forth in Section 6.13(b) for such fiscal quarter.
