Specified NAG Subsidiary

Specified NAG Subsidiary. Any entity directly or indirectly owned by NAG that, together with the subsidiaries of such entity, accounts for a majority of the consolidated assets or revenues of NAG, based on the latest available year-end financial statements of NAG (which shall be audited if NAG prepares audited financial statements in the ordinary course of business).
