Spin Off Termination. The termination or abandonment of that certain Agreement and Plan of Merger, dated as of April 20, 2018 (the "Spinco Merger Agreement"), by and among the Parent Borrower, Spinco, HS Merger Sub, Inc., DVM and Shareholder Representative Services LLC, solely in its capacity as the representative of DVM's stockholders, pursuant to Section 8.1 thereof prior to the consummation of the Spin Off.
