Spin Off. The distribution of shares of common stock of PayPal to the stockholders of eBay Inc. pursuant to the Separation and Distribution Agreement

Spin Off. Means a transaction in which the Company spins off or otherwise divests itself of a part of its business or operations or disposes all or a part of its assets in a transaction in which the Company does not receive compensation for such business, operations or assets, but causes securities of a subsidiary of the Company or another entity to be distributed or otherwise issued to all holders of Common Stock.

Spin Off. The dividend of the Equity Interests of Spinco to Spinco's shareholders in one or more transactions pursuant to that certain Contribution and Distribution Agreement, dated as of April 20, 2018 (the "Spinco Contribution and Distribution Agreement"), by and among the Parent Borrower, Spinco, Direct Vet Marketing, Inc. ("DVM") and Shareholder Representative Services LLC, solely in its capacity as the representative of DVM's stockholders.

Spin Off. The distribution of shares of Common Stock to the stockholders of International Business Machines Corporation in 2021 pursuant to the Separation and Distribution Agreement and the Employee Matters Agreement between the Company and International Business Machines Corporation entered into in connection with such distribution.

Spin Off. Shall mean the completion of the strategic transaction announced by the Company on March 4, 2021, which will separate the Division into a standalone publicly traded company, whether by distribution of all or the majority of the Division's equity owned by the Company to the Company's shareholders or otherwise.
