Spinoff

Spinoff. Means a dividend or other distribution to all holders of the Common Stock of shares of capital stock of any class or series, or similar equity interests, of or relating to a subsidiary or other business unit of the Corporation.

Spinoff. Means the distribution by the Company to all holders of its outstanding Common Stock, on a pro rata basis, of all of the issued and outstanding equity securities of SpinCo, in a transaction intended to qualify as tax-free under Section 355 of the Internal Revenue Code of 1986, as amended.

Spinoff. Means a spin-off of 80% or more of the common equity of the Company to shareholders of Computer Network Technology Corporation (or any successor thereof) in a transaction under Section 355 of the Code.

Spinoff. Means the distribution of stock of a Subsidiary of the Company as a distribution or dividend to all holders of Ordinary Shares.

Spinoff. Has the meaning set forth in the fourth recital hereof.

Spinoff. As defined in the Purchase Agreement.

Spinoff. Means (i) a tax-free spinoff of the Company as defined in Section 355 of the Code or (ii) a distribution or dividend by the Parent to its shareholders of all or substantially all of the Shares.

Spinoff. The distribution by ICN of its remaining interest in the Company to ICN's shareholders in a tax-free spin-off following the Initial Public Offering described in the Company's Form S-1 filed with the Securities and Exchange Commission on _______.

Spinoff. Means the Company's separation from Lennar on the Spin-Off Date, as described in the Recitals to this Agreement.

Spinoff. Has the meaning set forth in the recitals to this Agreement.
