SplitOff. Means the issuance or delivery of shares of Common Stock upon conversion of all of the outstanding shares of GM Class E Common Stock as a result of the merger of GM Mergeco Corporation, a Delaware corporation and indirect wholly owned subsidiary of the Company, with and into General Motors effective as of June 7, 1996.
SplitOff. Means the split-off of the Company from General Motors Corporation ("GM") on June 7, 1996 pursuant to which each outstanding share of Class E Common Stock of GM was converted into one share of Common Stock, and the Company became an independent publicly-traded corporation.
