Sponsor SPE. A single purpose, bankruptcy remote entity (i) which, together with certain of its constituent entities (to the extent applicable), satisfies the representations, warranties and covenants contained in Section 5.2 of the Mortgage, (ii) in which Sponsor owns at least a 51% direct or indirect equity ownership interest and (iii) which is controlled (as such term is defined in the Mortgage) by Sponsor
