Spread

Spread. Means the excess of (i) the Market Value per Share on the date when an Option Right is exchanged for a Tandem Appreciation Right over (ii) the Option Price provided for in the exchanged Option Right.

Spread. Per share of Warrant Stock shall be the difference, as of the date of exercise, between the Exercise Price and the Fair Market Value of the Warrant Stock.

Spread. Means the difference, if any, between (i) $37,000 and (ii) the per-share exercise price of a Company Stock Option (taking into account any reduction as provided in Section 8(a)(ii)).

Spread. An amount equal to the excess, if any, of the Fair Market Value of a share of Common Stock for the date of exercise of a Stock Appreciation Right, over the exercise price of such right.

Spread. Shall mean the excess of the Fair Market Value of a Share on the date of exercise of a Right over the exercise price per Share of such Right.

Spread. With respect to a SAR shall have the meaning set forth in Section 8(b) of this Plan, and with respect to a Limited SAR, the meanings set forth in Sections 9(c) and 9(d) of this Plan

Spread. The excess of the Market value per Share on the date when an SAR is exercised over the Base Price.

Spread. The excess of the Market Value per Share on the date when a SAR is exercised over the Exercise Price or Base Price provided for in the related Stock Option or Freestanding SAR, respectively

Spread. The value equal to 750,000 times the amount by which the value per share that the Company's shareholders receive in the Change in Control at the closing of such Change in Control as calculated in accordance with the applicable method described in Section 4(B)(3) exceeds the per share Fair Market Value of the Company's common stock on the trading day immediately prior to the public announcement of the Change in Control.
