Square 1. Means Square 1 Bank, a North Carolina banking corporation ("Square 1"), in its capacity as a holder of (i) Warrants, (ii) shares of capital stock issued upon the exercise of the Warrants or (iii) Common Stock issued upon the conversion of such shares of capital stock.
