St. Jude Intellectual Property. The Intellectual Property rights used by St. Jude in the research, design, development, manufacture or distribution of the EnSite System and the Fully Integrated EnSite System, but not any Intellectual Property jointly owned by Hansen and St. Jude under the terms of the Joint Development Agreement, to the extent that such jointly owned Intellectual Property is derived from Intellectual Property developed or otherwise acquired by Hansen outside of the Joint Development Agreement
