Standard of Care. Lead will manage the Transaction (i) in accordance with the provisions in this Agreement and the Master Participation Agreement between Lead and the Merchant Advance Company as to matters described therein, and (ii) as to all others aspects of the Transaction, with the same degree of care that Lead follows in similar transactions with its other clients
