STERLING EXIT. Means that Douglas Becker, Eric D. Becker, Merrick M. Elfman, Bruce Goldman, Rudolf Christopher Hoehn-Saric, and Steven M. Taslitz, as well as their spouses and dependent children or trusts established for their benefit, have reduced their aggregate beneficial ownership of the Company's Common Stock to less than fifteen percent (15%).
