Stock Acquisition Date

Stock Acquisition Date. Shall mean the first date of public announcement by the Company or an Acquiring Person that an Acquiring Person has become such or such earlier date as a majority of the directors shall become aware of the existence of an Acquiring Person.

Stock Acquisition Date. Notwithstanding anything in this Agreement to the contrary, a Stock Acquisition Date shall be deemed not to have occurred notwithstanding (i) the execution or delivery of the Merger Agreement, (ii) the announcement of the Merger, the Offer, or the Top-Up Option, or (iii) the consummation of the Merger or of the other transactions with Parent or any of its Affiliates contemplated by the Merger Agreement, including the Offer and the Top-Up Option.

Stock Acquisition Date. The first date of public announcement (which, for purposes of this definition, shall include, a report filed or amended pursuant to Section 13(d) of the Exchange Act) (i) by the Company or a Person or an Affiliate or Associate of the Person, that the Person has become an Acquiring Person or (ii) by the Company, that the Board has concluded, based on information from any source, that a Person has become an Acquiring Person.

Stock Acquisition Date. Shall mean the first date of public announcement (which, for purposes of this definition, shall include, without limitation, a report filed pursuant to Section 13(d) under the Exchange Act) by the Company or an Acquiring Person that an Acquiring Person has become such or such earlier date as a majority of the directors shall become aware of the existence of an Acquiring Person; provided, however, that if such Person is thereafter determined not to have become an Acquiring Person within the... meaning of Section 1(a), then no Stock Acquisition Date shall be deemed to have occurred. Stock Acquisition Date. Means the first date of public announcement (including, without limitation, the filing of any report pursuant to Section 13(d) of the Exchange Act), or any press release issued by the Company or any Person, or the filing of any periodic or interim report by the Company or any Person or the filing of any Schedule TO or Amendment thereto by any Person with the Securities and Exchange Commission) that an Acquiring Person has become such.
