STOCK CONSIDERATION AMOUNT. Means, with respect to a Preferred Share, the quotient of (A) the product of (1) the Consideration Allocation Amount for such share times (2) the quotient of the Aggregate Stock Consideration Amount divided by the Maximum Payment Value, divided by (B) the Buyer 20-Day Price.
