Stock Price

Stock Price. Shall mean $.06 per share of Purchaser's common stock and where applicable adjusted to reflect the Reverse Stock Split.

Stock Price. Means the average of the closing prices of the Company's common stock on the NYSE for each of the ten NYSE trading days immediately following the Company's public announcement of its results of operations for the Performance Period (the "Average Period").

Stock Price. Means the arithmetic average of the Weighted Average Price for the 10 Trading Days immediately prior to the Mandatory Conversion Notice Date (as defined in the Notes).

Stock Price. Shall mean the simple average of the high and low sales prices of a share of Celera Stock or Applied Biosystems Stock, as the case may be, as reported in the report of composite transactions (or other independent published source designated by the Board of Directors) on the Fees Payment Date (or if there shall be no trading on such date, then on the first previous date on which sales were made on a national securities exchange). Stock Price. Means the closing price of the Common Stock on the principal exchange on which the Common Stock is traded.

Stock Price. The price paid or deemed to be paid per 0.321 of a share of Common Stock plus the Cash Component in the transaction constituting the Make-Whole Fundamental Change (the "Stock Price") subject to adjustment as set forth in the next paragraph; provided that if a Holder of the Common Stock receives only Cash in connection with such transaction, the Stock Price shall be the Cash amount paid per 0.321 of a share of Common Stock plus the Cash Component. Stock Price. Means, as of a particular date, the Fair Market Value of the Common Stock on such date (or, if such date is not a trading day, the most recent trading day immediately preceding such date).

Stock Price. Means the average of the Closing Prices for the twenty Trading Day period ending on (and including) the Trading Day ending immediately prior to the Interest Payment Date.

Stock Price. The closing price of the Company's Common Stock as reported on the New York Stock Exchange Composite Tape or, if no such reported sale of the Common Stock shall have occurred on such date, on the next preceding date on which there was such a reported sale

Stock Price. The average closing price of the Stock for the 90 consecutive calendar days immediately preceding such date; provided, however, that, in the event of a Change in Ownership or Control of the Company, the Stock Price shall be the last reported closing price of the Stock on the immediately preceding full trading day immediately prior to the Change in Ownership or Control of the Company
