Stock Value. Means (i) the volume-weighted-average price of the Common Stock as reported by NASDAQ (or other applicable established stock exchange or market for the Common Stock) over any consecutive seven trading days; or (ii) the Aggregate Per Share Consideration in a Change in Control.
