Example Definitions of "Stockholder Equity Return Event"
Stockholder Equity Return Event. Means any transaction or series of transactions which result in the Company's stockholders as of the date hereof selling at least 50% of the Common Stock (as defined in Section 2) held by the Company's stockholders as of the date hereof at a price per share equal to not less than $80.00. The determination of whether a particular transaction or transactions constitutes a Stockholder Equity Return Event shall be made in good faith by the Company's Board of Directors.
