STOCKHOLDER REJECTION DATE. Means the date of a special meeting of the Company's stockholders at which a quorum is present either in person or by proxy for the conduct of business thereof, if, and at which, the issuance of the Shares or the Closing Warrants 2 pursuant to the Securities Purchase Agreement is put to a vote of the Company's stockholders and the Company's stockholders do not vote to approve such issuance.
