Stockholders Resolution

Stockholders Resolution. Means a resolution of the stockholders entitled to vote generally at the election of directors or of the Board of Directors, other than the directors or officers who are parties to the Proceeding. For the avoidance of doubt, the vote of stockholders affiliated with any Director will not be excluded.
