Strategic Investor. Shall mean, with respect to any proposed Transfer, any (a) Person that is determined by the Majority Kohlberg Investors to be a competitor of the Company or any of its subsidiaries in any material respect or a potential strategic investor in the Company or any of its subsidiaries and (b) any Affiliate of any such Person specified in clause (a).
