Subcommittee

Subcommittee. The Executive Compensation Subcommittee of the Board.

Subcommittee. Shall mean a subcommittee of the Committee consisting of each member of the Compensation Committee of the Board who is both: (i) an "outside director" within the meaning of Section 162(m) of the Code, and (ii) an "independent director" for purpose of the rules and regulations of the NASDAQ Stock Market (or such other principal securities market on which the Shares are traded). 2 2.29.

Subcommittee. A subcommittee of the Board which shall be composed of at least two directors who are "outside directors" as defined in Rule 16b-3 under the Securities Exchange Act of 1934, as amended

Subcommittee. The Performance-Based Compensation Subcommittee of the Board of Directors of the Company which shall be composed of at least two directors who are "outside directors" as defined for purposes of section 162(m) of the Code and "non-employee" directors as defined in Rule 16b-3 under the Securities Exchange Act of 1934, as amended
