Subject Transaction

Subject Transaction. Means any transaction that was not permitted by the terms of the Credit Agreement prior to the effectiveness of the amendments set forth in Section 3 hereof but that would be permitted by the terms of the Credit Agreement upon the effectiveness of the amendments set forth in Section 3 hereof.
