Subordination. Means the Subordination of the Preferred Stock to the prior payment in full of all amounts that may be owed from time to time under that certain Amended and Restated Credit Agreement dated as of April ___, 2004, among the Company, each of the Lenders from time to time party thereto, and Highbridge/Zwirn Special Opportunities Fund L.P. as administrative agent for the Lenders (the "Credit Agreement") and any indebtedness that replaces or... refinances the indebtedness under the Credit Agreement (collectively, the "Senior Debt").
