Subscription Closing Investment Amount

Subscription Closing Investment Amount. Means the JCF Investment Amount less the aggregate value of the Cost Basis of the shares of Affirmative Common Stock purchased by the Company prior to the Subscription Closing. For the purposes of this 2 definition, the per share value of shares of Affirmative Common Stock shall be equal to the Cost Basis of the Company for each such share, unless otherwise agreed to in writing by the parties hereto and to the New Affirmative Subscription Agreement.
