Subsequent Tranche Expiration Date. For any Subsequent Tranche shall be the second anniversary of the Subsequent Tranche Vesting Date for such Subsequent Tranche, provided that if the Fair Market Value of the Common Stock on such second anniversary is lower than the First Tranche Base Price, then such Subsequent Tranche Expiration Date shall be the third anniversary of the Subsequent Tranche Vesting Date for such Subsequent Tranche.
