Subsidiary Warrant Value. An amount equal to the product of the total number of shares of capital stock that would have been distributed in a Spin-Off in respect of the aggregate shares of Common Stock issuable under this Warrant if this Warrant had been exercised in full immediately prior to the record date for such distribution, multiplied by the Market Price of such shares of capital ------------- stock as of the time of determination.
