Substantial Purchaser

Substantial Purchaser. Means any Purchaser issued Shares on the Closing Date that, together with the Warrant Shares underlying the Warrants acquired on the Closing Date, represent greater than 3% of the total outstanding shares of Common Stock on a Fully Diluted Basis on the Closing Date.
