Successor Warrant. Means a security of the Successor Entity evidenced by a written instrument substantially similar in form and substance to this Warrant and (a) exercisable for such number of shares (the "Successor Warrant Shares") of the publicly traded capital stock (without regard to any terms, conditions or limitations on the exercise of the Successor Warrant that would otherwise prevent the holder of such Successor Warrant from exercising such Successor Warrant in a single exercise notice in full)of the... Successor Entity (the "Successor Common Stock") equal to the product of (i) the number of Warrant Shares issuable upon exercise of this Warrant immediately prior to the date of the consummation of such Fundamental Transaction (without regard to any terms, conditions or limitations on the exercise of this Warrant that would otherwise prevent the Holder of this Warrant from exercising this Warrant in a single exercise notice in full) and (ii) the quotient of (x) the Company Market Price divided by (y) the Successor Market Price and (b) the exercise price of such Successor Warrant shall equal the product of (i) the Successor Market Price and (ii) the quotient of (x) the Exercise Price in effect as of the date immediately preceding the consummation of such Fundamental Transaction divided by (y) the Company Market Price.
