SVB Shares. (i) the shares of Series A Preferred Stock issuable upon exercise of a Warrant to Purchase Stock dated August 27, 2001 issued by the Company to Silicon Valley Bank and (ii) the shares of Series B Preferred Stock issuable upon exercise of a Warrant to Purchase Stock dated September 24, 2002 issued by the Company to Silicon Valley Bank (collectively, the "SVB Warrants").

SVB Shares. Shares of Common Stock issued or issuable upon conversion of the Series A Preferred Stock issued or issuable upon exercise of that certain Warrant to purchase stock dated September 20, 2004, issued by the Company to Silicon Valley Bank, and any shares of Common Stock issued by way of a stock split of the shares referenced in the foregoing
