Target Annual Bonus

Target Annual Bonus. The target amount of an Eligible Executive's annual cash bonus immediately prior to the Date of Termination, unless such Date of Termination occurs during the 12 months following a Change in Control, in which case the Target Annual Bonus shall equal the target amount of an Eligible Executive's annual cash bonus immediately prior to the Change in Control.

Target Annual Bonus. An Eligible Executive’s target annual bonus for the calendar year that includes such Eligible Executive’s Date of Termination.

Target Annual Bonus. Shall mean Employee's target annual bonus that may be earned for performance during the Company's fiscal year in which a termination occurs; provided, however, that sign-on or other special bonuses shall not be taken into account.
