With respect to any Participant, the product of (x) such Participant's base salary on December 31st of the Plan Year with respect to which a Cash Bonus Award is being considered times (y) such Participant's Target Cash Bonus Percentage times (z) a fraction, the numerator of which is the number of days that the Participant was employed by the Company during such Plan Year and the denominator of which is 365
