Tax Sharing Agreement. Means the Tax Sharing Agreement entered into as of the 1st day of July, 1996, by and among WMS, MGI and the direct and indirect wholly-owned subsidiaries of MGI named therein, including, without limitation, MHEI, Midway Interactive and MGW, together with all amendments thereto.
