Televisa Forfeiture Portion. With respect to any Person that ceases to be a Manager, the product of (a) the Forfeiture Percentage of such Person multiplied by (b) a fraction, expressed as a percentage and determined as of immediately after such cessation, the numerator of which is the aggregate number of shares of Common Stock (including shares of Common Stock issuable in respect of Convertible Securities) then held by the Televisa Investors, and the denominator of which is the aggregate number of shares of Common Stock...
