Teligent Liquidation. Teligent wishes to dissolve and liquidate immediately following the Teligent Closing (as such term is defined herein), at which time any remaining shares of Buyer stock shall be distributed to the stockholders of Teligent, any remaining cash shall be distributed to the Buyer and any other assets shall be abandoned (the "Teligent Liquidation");
