Example Definitions of "Tender Offer"
Tender Offer. The offer to purchase for cash any and all of the outstanding Senior Subordinated Notes by Borrower and the solicitation of the holders of the Senior Subordinated Notes to consent to certain amendments and modifications of the Senior Subordinated Notes and the Senior Subordinated Indenture, in each case, upon the terms and conditions described in an Offer to Purchase and Consent Solicitation Statement included as Exhibit A hereto.
Tender Offer. A tender offer, exchange offer or other offer by the Company to repurchase outstanding shares of its capital stock
Tender Offer. The all-cash tender offer by the Borrower for its shares of common stock that is proposed to be commenced in connection with the initial listing of the Borrower's shares of common stock on the New York Stock Exchange LLC (or other national securities exchange registered under Section 6 of the Exchange Act of 1934, as amended), which shall be for an amount not to exceed $275,000,000.
Tender Offer. Shall have the meaning set forth in the Recitals.
