Term Loan Prepayment Conditions. Shall mean the following: (A) the Permitted Repurchase Transaction has been effected in accordance with its terms (or Borrower, at its option, has effected a repurchase of its Series A-1 Preferred Stock having the same economic effect as the Permitted Repurchase Transaction); and, at any time after the consummation of the Series A Transaction, Borrower has received net proceeds (but specifically not including any proceeds from the Series A Transaction) in the amount of the Permitted Repurchase...
