Terminate

Terminate. "terminated," "termination," or "termination of employment" shall mean separation from service as defined by Treasury Regulation §1.409A-1(h).

Terminate. The termination of Executive's employment hereunder for any of the following reasons unless the context indicates otherwise: (i) Retirement by Executive; (ii) Death of Executive; (iii) Disability; (iv) Expiration; (v) Resignation for Good Reason; (vi) Resignation other than Resignation for Good Reason; (vii) Termination Without Cause; and 3 (viii) Termination for Cause.

Terminate. (and derivatives thereof) shall mean, when used in connection with a cessation of employment, that the Executive has incurred a separation from service as defined in Section 409A of the Internal Revenue Code of 1986, as amended (the "Code"), and guidance and regulations issued thereunder ("Section 409A")

Terminate. Cease to be a Director, except by death

Terminate. Cease to be an employee, except by death, but a change of employment from the Corporation or one Subsidiary to another Subsidiary or to the Corporation shall not be considered a termination

Terminate. Cessation of his relationship with the Company as a Director whether by death, disability or severance for any other reason. Unless the Committee determines otherwise in its sole discretion, Terminate, Terminating, or Termination do not include situations where the Participant becomes employed by the Company or one of its subsidiaries.
