Termination Following a Change in Control. Means the termination of Executive's employment within the six (6) month period immediately following a Change in Control: (i) on account of a Termination without Cause; or (ii) by Executive for any of the following reasons (by means of advance written notice to the Company at least thirty (30) days prior to the effective date of such termination identifying reason or reasons for such... termination): (A) The Company fails to maintain Executive in the office or the position, or a substantially equivalent or better office or position, of or with the Company and/or an affiliate of the Company, as the case may be, which Executive holds as of the Effective Date, without Executive's consent; (B) There is a (A) significant adverse change in the nature or scope of the authorities, powers, functions, responsibilities or duties attached to the position with the Company which Executive holds as of the Effective Date, without Executive's consent, or (B) reduction of Executive's Base Salary, without Executive's consent, either of which is not remedied by the Company within 10 calendar days after receipt by the Company of written notice from Executive of such change or reduction, as the case may be; or (C) Without limiting the generality or effect of the foregoing, any material breach of this Agreement by the Company or any successor thereto which is not remedied by the Company within 10 12 calendar days after receipt by the Company of written notice from Executive of such breach.
