Termination of Affiliation

Termination of Affiliation. Occurs on the first day on which an individual is for any reason no longer an employee, director or independent contractor of the Company or any Affiliate of the Company, or with respect to an individual who is an employee or director of, or independent contractor to, a corporation which is an Affiliate, the first day on which such corporation ceases to be an Affiliate of the Company.

Termination of Affiliation. The first day when Grantee for any reason is no longer providing Services to the Company or any Consolidated Subsidiary, or with respect to Grantee's status as an employee, director or trustee of, or consultant to, an entity which is a Consolidated Subsidiary, the first day on which such entity ceases to be a Consolidated Subsidiary
