Termination of Service due to Election Results. Ceasing to serve as a director of the Company because either (i) having been nominated for reelection, the Non-Employee Director is not re-elected by the stockholders of the Company to serve as a member of the Board or (ii) having been re-elected by fewer than a majority "for" votes of the votes cast by the stockholders at a stockholders' meeting in an uncontested election of director, the Non-Employee Director's offer to resign is accepted by the Board.
