Termination Year Bonus

Termination Year Bonus. Means the annual incentive bonus which would have been earned by the Executive under the Company's Senior Management Incentive Plan or any comparable successor plan if (i) the Executive had remained employed by the Company for the full fiscal year in which the Date of Termination occurs or such later date as may be required for the Executive to be entitled to receipt of the bonus and (ii) in the event that a portion of such bonus is based upon the Executive's satisfaction of personal... performance targets, goals and objectives, the Executive had satisfied such personal performance targets, goals and objectives at target. Termination Year Bonus. Means the annual incentive bonus which would have been earned by the Participant under the Company's Senior Management Incentive Plan or any comparable successor plan if the Participant had remained employed by the Company for the full fiscal year in which the Termination Date occurs.

Termination Year Bonus. Bonus payable under Section 4(b) hereof for the Bonus Period in which the Executive's employment with the Company terminates for any reason.
