Terms defined in the UCC. All terms that are defined in the UCC (as hereinafter defined), and that are used in this Agreement or in Schedule A hereto without definition herein or therein, unless the context indicates otherwise, shall have the respective meanings specified in the UCC; provided that, to the extent that if any such term is defined differently in different Articles of the UCC, the definition of such term contained in Article 9 thereof shall govern.
