TerreStar Transaction

TerreStar Transaction. Means the proposed transaction pursuant to which the Company intends to invest up to $350 million of the proceeds of this offering to increase its equity ownership interest in TerreStar Networks Inc. ("TerreStar") at a pre-money valuation of TerreStar not to exceed $800 million on a fully-diluted basis. For purposes of clarity, the TerreStar Transaction is not intended to be a "transaction contemplated" by the terms of this Agreement or the Transaction Documents.
