Tertiary Notice

Tertiary Notice. Means written notice from the Company notifying the Class B Common Holders and the selling Key Holder that the Company and the Class A Common Holders do not intend to exercise their Right of First Refusal and Secondary Refusal Right as to all shares of Transfer Stock with respect to any Proposed Key Holder Transfer.
